Terms and Conditions

1. Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy, which is incorporated here by reference. These Terms form a binding agreement between you and Auritrack.

2. Eligibility

You must be at least 13 years old and have the legal capacity to enter into a binding agreement, or the age of majority in your jurisdiction where that is required. By using the Service, you represent and warrant that you meet these requirements and that all information you provide is accurate.

3. Description of the Service

Auritrack is a personal finance organisation tool. It lets you manually record and import financial information (for example from statements or CSV, PDF, and spreadsheet files), categorise transactions, set budgets and goals, and receive automated summaries, reports, and insights, some of which are generated using artificial intelligence.

Auritrack does not connect to, log into, or move money from your bank accounts or other financial institutions, and is not a bank, broker, lender, money transmitter, or financial institution.

4. Not Financial, Investment, Tax, or Legal Advice

The Service and all content it produces, including AI-generated insights, reports, categorisations, projections, and recommendations, are provided for informational and organisational purposes only. They do not constitute financial, investment, accounting, tax, or legal advice, and must not be relied upon as such.

You are solely responsible for your own financial decisions. You should consult a qualified professional before making any decision based on information from the Service. Auritrack is not liable for any decision you make or action you take in reliance on the Service.

5. AI-Generated Content

Parts of the Service use third-party artificial intelligence models to parse documents and generate text, categories, and insights. AI output can be inaccurate, incomplete, out of date, or miscategorised. You are responsible for reviewing and verifying any AI-generated content before relying on it, and Auritrack makes no warranty as to its accuracy or fitness for any purpose.

6. Your Data and Its Accuracy

You are responsible for the accuracy, legality, and completeness of any data you enter or upload, and you confirm that you have the right to provide it. Reports, budgets, and insights are only as accurate as the data you supply. You are responsible for keeping your own backups of important information.

7. Accounts and Security

• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You agree to notify us immediately of any unauthorised access to or suspicious activity on your account.
• We may suspend or disable an account where we reasonably believe its security has been compromised.

8. Acceptable Use

You agree not to:

• use the Service for any unlawful, fraudulent, or unauthorised purpose;
• attempt to gain unauthorised access to the Service, other users' accounts, or our systems, or interfere with the normal operation, integrity, or security of the Service;
• reverse engineer, decompile, scrape, or attempt to extract the source code of the Service except where permitted by law;
• upload another person's data without lawful authority to do so, or upload malicious code or content that infringes the rights of others;
• use the Service in any way that could damage, disable, or impair it or another user's experience.

9. Subscriptions, Purchases, and Billing

Some features require a paid subscription or in-app purchase, including consumable in-app credits. Prices, plan limits, and features are described in the Service and may change. Purchases are processed by the applicable platform or payment processor, which may include the Apple App Store, Google Play, or our payment partners.

• Paid subscriptions renew automatically for the same period unless cancelled before the end of the current term.
• You can manage or cancel a subscription through the store or account through which you purchased it; cancellation takes effect at the end of the current billing period.
• Except where required by law, payments and in-app credits are non-refundable, and refunds, where available, are governed by the policy of the store or processor used for the purchase.
• In-app credits (such as Auricoins) have no monetary value, are not redeemable for cash, and are non-transferable. We may change credit pricing, allocations, or the cost of credit-consuming features at any time.
• You are responsible for any taxes associated with your purchases.

10. Free Trials

We may offer free trials or promotional access. Unless you cancel before the trial ends, the trial may automatically convert to a paid subscription at the then-current price. We may change or withdraw trial offers at any time.

11. Third-Party Services

The Service relies on third parties for hosting, authentication, payment processing, analytics, AI processing, and push notifications, and may contain links to third-party sites. We are not responsible for the content, policies, or practices of these third parties, and your use of them is subject to their own terms.

12. Intellectual Property

All intellectual property rights in the Service, including its software, content, design, and branding, are owned by Auritrack or its licensors. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for your own personal, non-commercial use in accordance with these Terms. You may not reproduce, distribute, modify, or create derivative works from any part of the Service without our prior written consent.

13. Your Content and Feedback

You retain ownership of the data you submit. You grant us a limited licence to host, process, and use that data solely to operate and improve the Service and as described in our Privacy Policy. If you send us suggestions or feedback, you grant us a perpetual, royalty-free licence to use it without obligation to you.

14. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any content or calculation it produces is accurate or reliable.

15. Limitation of Liability

To the maximum extent permitted by law, Auritrack and its owners, employees, and partners will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, data, goodwill, or financial loss, arising out of or relating to your use of or inability to use the Service, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or USD 100.

16. Indemnification

You agree to indemnify and hold harmless Auritrack and its owners, employees, and partners from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your data, or your breach of these Terms or of any applicable law or third-party right.

17. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any violation of these Terms or for any other lawful reason. You may stop using the Service and delete your account at any time. On termination, your right to use the Service ceases immediately; sections that by their nature should survive will continue to apply.

18. Changes to the Service

We may modify, suspend, or discontinue any part of the Service at any time, and we are not liable to you or any third party for doing so.

19. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Effective Date" above and, where appropriate, by notice within the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

20. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict-of-law rules. You agree that the courts located in Nigeria will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to any mandatory consumer-protection rights you have in your country of residence.

21. Additional Terms for Apple App Store Downloads

If you download the Auritrack app from the Apple App Store, the following additional terms apply and, in the event of any conflict with the rest of these Terms, control with respect to your use of the app on Apple devices:

• These Terms are an agreement between you and Auritrack only, and not with Apple Inc. ("Apple"). Auritrack, not Apple, is solely responsible for the app and its content.
• Apple has no obligation to furnish any maintenance or support services for the app.
• To the maximum extent permitted by applicable law, Apple has no warranty obligation with respect to the app. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) you paid for the app; to the maximum extent permitted by law, Apple has no other warranty obligation whatsoever, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to any warranty are Auritrack's responsibility.
• Auritrack, not Apple, is responsible for addressing any claims by you or a third party relating to the app or your possession or use of it, including product-liability claims, claims that the app fails to conform to any legal or regulatory requirement, and claims arising under consumer-protection, privacy, or similar legislation.
• In the event of any third-party claim that the app or your possession and use of it infringes that third party's intellectual-property rights, Auritrack, not Apple, will be solely responsible for the investigation, defence, settlement, and discharge of any such claim.
• You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
• You must comply with any applicable third-party terms of agreement when using the app.
• Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

22. General

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right is not a waiver of it. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Auritrack regarding the Service.
